SoarFare Terms of Service

1. Introduction & Acceptance of Terms

1.1. Acceptance of Terms: By accessing or using the SoarFare website, mobile application, or any service provided by SoarFare (collectively, the "Service" or "Platform"), you agree to be bound by these Terms of Service ("Terms"). You acknowledge that you have read, understood, and agree to comply with all applicable laws and regulations. If you do not agree with these Terms, you must not use the Service.

1.2. Right to Modify: We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion. Any modifications will become effective immediately upon posting. Your continued use of the Platform after such modifications constitutes acceptance of the revised Terms.

2. Eligibility, Account Security, and Prohibited Use

2.1. Eligibility Requirements: You must be at least 18 years old to register for or use the Platform. You agree to provide accurate, complete, and current information during registration.

2.2. Account Security: You are solely responsible for maintaining the confidentiality of your account credentials. You must promptly notify us of any suspected unauthorized access. We are not liable for unauthorized access or activity on your account resulting from your failure to safeguard your credentials.

2.3. Account Transfers & Restrictions: You may not sell, transfer, trade, or share your account or credentials with any other party. We reserve the right to reject any registration or terminate any account that violates these Terms.

2.4. Prohibited Activities (Data and System Misuse): You are expressly prohibited from using the Platform to:

* Conduct excessive, automated, or unreasonable searches that place an undue load on our system.

* Engage in scraping, data mining, or reverse engineering of the Platform or its proprietary content, including pricing data and algorithms.

* Use the Platform to gather pricing data or information for competing services or any third-party commercial exploitation without our express written consent.

* Access or attempt to access the Platform via bots, automated scripts, or unauthorized software.

3. Subscription, Points, and Financial Terms

A. Subscription, Accrual, and Vesting

Subscriber Definition: A "Subscriber" is defined as an individual or entity with a currently active, paying subscription to the Service.

Subscription: The Service is offered on a monthly subscription basis, with tiered pricing based on the subscriber's chosen plan ($20 to $500 per month).

Base Point Accrual: Points are issued at a rate of 1 Point per $1.00 paid based on your chosen tier.

Sign-Up Bonus Vesting: The bonus vests gradually over twenty-four (24) consecutive months of an active subscription. One twenty-fourth (1/24) of the total bonus is vested each month and automatically transferred to the subscriber's account. This bonus is applicable to tiers with a fee of $50.00 or greater.

Quarterly Loyalty Bonus: Accrued points are locked until they are moved to the available balance on December 31st of the calendar year in which they were earned, applicable to eligible tiers.

Cancellations and Freezing: Subscribers may initiate a change to Frozen Status. Frozen Status immediately stops future billing.

B. Point Redemption and Value

Redemption Requirement (Active Status): Points can only be redeemed for travel services if the subscriber's account is covered by a currently active subscription. If a subscription is in Frozen Status, Canceled Status, or otherwise inactive, Points cannot be redeemed.

Point Redemption Value (Dynamic Pricing): The required Points for flights or services utilizes dynamic pricing, meaning the cost in Points may change at any time based on factors like supplier availability and demand. The redemption value is subject to change without prior notice.

C. Point Liability, Expiration, and Forfeiture

Point Liability: SoarFare Points are not currency, cash, a gift card, or property. Points have no monetary value outside of the Platform, cannot be transferred, and cannot be redeemed for cash.

Forfeiture of Bonuses (Frozen or Canceled Status):

Sign-Up Bonus: If a subscriber moves their account to Frozen Status or Canceled Status before the 24-month vesting period is complete, all unvested Sign-Up Bonus points are immediately and permanently forfeited.

Quarterly Loyalty Bonus: If a subscriber moves their account to Frozen Status or Canceled Status before December 31st of a calendar year, all accrued, locked Quarterly Loyalty Bonus points for that year are immediately and permanently forfeited.

Forfeiture for Misuse: We reserve the right to audit and revoke or adjust Points in the event of errors, suspected fraudulent or abusive activity (e.g., exploiting loopholes or artificial transactions), or violation of these Terms.

Expiration (Inactivity): All Points will expire if the subscriber's account remains in Frozen Status or Canceled Status for a continuous period of twelve (12) months.

Point Transferability: Points are generally intended for use by the individual who earned them. However, Points may be transferred to the account of any other individual who holds a currently active, paying subscription to the Service. Points may not be sold or traded outside of the approved transfer mechanism within the SoarFare platform.

4. Platform Availability, Disclaimers, and Limitation of Liability

A. Platform Availability

No Guarantee of Service: We do not guarantee uninterrupted or error-free access to the Platform. We may perform scheduled maintenance or experience unforeseen outages. We are not liable for any disruption or loss you may experience as a result of downtime.

B. Disclaimers and No Warranties

No Warranties: To the maximum extent permitted by law, SoarFare provides the Platform and the Rewards Program “as is” and “as available,” without warranties of any kind, whether express or implied.

Pricing and Availability: We do not guarantee the accuracy of travel pricing or the availability of flights or services listed on the Platform. We do not accept any liability if a flight or travel service becomes unavailable or changes in price while your booking or payment is being processed.

C. Limitation of Liability

Liability Cap: In no event shall SoarFare’s total liability for all claims related to the Service exceed the total subscription fees paid by the subscriber in the twelve (12) months immediately preceding the date the claim arose.

Exclusion of Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, including without limitation, lost profits, even if we have been advised of the possibility of such damages.

5. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by the laws of Utah.

Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively by binding arbitration in Saratoga Springs, Utah County, rather than in court. You waive the right to a trial by jury.

Class Action Waiver: All claims must be brought on the parties’ individual capacities, and not as a plaintiff or class member in any purported class or representative proceeding. You waive the right to participate in a class action or collective lawsuit of any kind.

ACKNOWLEDGMENT & ACCEPTANCE

By accessing or using the SoarFare Platform, you acknowledge that you have read these Terms, understand them, and agree to be bound by them.

SoarFare is a financial technology company, not an airline, bank, or hotel operator.
